The requirement for Legal Counsel pertaining to personal issues and company based reason.
To Consult with regards to startup Clinics
Firstly, I would like to consult for my personal reason, I have decided to take up the role of Director and CEO of a chain of dental clinics (9 clinics in Chennai), startup clinics.
my requirement is for me to draw up an agreement with the existing owner or proprietor stating an already discussed clause with himi.e
a) when I step up to take this role as CEO/DIRECTOR I will be taking up shares in the company (minimum 15 to 20% shares),
Legal counsel I require is for "this", as to how to go about this and also the measures I can take to ensure they do not get diluted in the future even with new investors.Note: I have not invested anything in the company, it is my previous experience and skill set that this company requires or they are in a situation of crashing. so they would comply with the above mentioned.b) 15% of overall turnover as a revenue share, has been committed and not on the profit.
Change from proprietorship to a private limited company
Secondly, the Company has to be changed from proprietorship to a private limited company. with three members on the board or as shareholders. the existing owner has said he will maintain a minimum of 60+ percent of shares in the company.With the two above mentioned points, I would like to process this request soon, so as to comfortably make decisions and move ahead.
